New form SPICe+ is notified for the registration of a company & incidental registrations, keeping in mind the simplicity of conducting business. The SPICe+ form replaces the previous SPICe form. All new business formations must be completed online using the SPICe+ form. AGILE-PRO, SPICe+AoA, and SPICe+MoA are the other forms that must be filed with SPICe+.

SPICe+ Form

Simplified Proforma for Incorporating Company Electronically Plus (SPICe+) is an acronym for Simplified Proforma for Incorporating Company Electronically Plus. SPICe+ seeks to provide around ten services through 3 Central Government Ministries and Departments (Ministry of Corporate Affairs, Ministry of Labor, and Department of Revenue under the Ministry of Finance) and one State Government. The form is a multi-service integrated online form with a single application.

Run Web Service

Reserve Unique Name is abbreviated as RUN. This web service has been used to reserve a new company's name or to alter the name of an existing corporation. In the event of reserving a name for a new company, the type of company and the suggested names for the firm must be submitted.

The CIN/LLPIN is the supplementary information needed to alter the name of an established business. Since the release of the SPICe+ & AGILE – PRO forms, the RUN online service will henceforth only be used to alter the name of existing businesses.

AGILE-PRO

Application for Goods and Services Identification Number (AGILE), Employees' State Insurance Corporation Registration and Employees' Provident Fund Organisation Registration are all acronyms for AGILE. The AGILE – PRO online form has replaced the old AGILE form (INC – 35).

With SPICe+

  • Articles of Association.
  • Declaration by the initial director(s) and subscriber (There is no need for an affidavit).
  • Memorandum of Association (s) 
  • Copy of utility invoices as proof of office address
  • A copy of a foreign corporation's certificate of incorporation (if any)
  • The promoter corporation passed a resolution.
  • The interest of the company's initial director(s) in other companies
  • Nominee Consent (INC–3)
  • Subscribers must provide identity proof as well as their residential address.
  • The nominee's proof of identification, as well as his or her residence address, are required.
  • Applicant's  identity proof and a residence I, II, and III
  • In the event of a Chapter XXI violation, unregistered businesses must be resolved (Part 1) INC – 14 is a declaration form for corporations.
  • Optional attachments (if any)
  • Declaration in Form No. INC – 15 (if any)
  • Part A of the attachments

AGILE-PRO

  • Proof of the business's primary location

  • Proof of appointment of GSTIN Authorised Signatory (one of the following documents: Letter of Authorisation/Copy of BOD/Managing Committee Resolution and Acceptance Letter).
  • For the creation of a bank account, proof of identification of the Authorised Signatory is required.
  • For the creation of a bank account, proof of the Authorised Signatory's address is required.

Procedure for Incorporation of a New Company Under SPICe+ Form

Step 1. Select the “SPICe+” option listed on the “MCA” portal

Step 2. When you choose 'SPICe+,' a new screen appears, where you must select the 'New Application' option.  

If you already have an application, choose 'Existing Application' and enter the application number as well as the proposed or authorised name.

Step 3. Select the type of “Company” from the drop-down

Step 4. Select the class of the “Company”

Step 5. Select the 'Company Category' that includes the following options:

  • Limited-by-shares company
  • Guaranteed Limited Liability Company
  • Company with no bounds

Step 6. Select the “Subcategory of the Company”

Step 7. The 'Main division of industrial activity of the Company' must be mentioned next (Mention the code of the industrial activities). If you choose '01,' the applicable business description will be auto-populated in the 'Description of main division' field.

Step 8. After that, you must provide information on the 'proposed or authorised name.' To perform the first level automated inspection of the proposed or authorised name in line with the regulations controlling the name, click the 'Auto-check' button.

You have the option of submitting 'Part A' for a name reservation or proceeding with the incorporation. When you want to go through with incorporation, 'Part B' becomes available.

Part B is divided into pieces, each having its own 'check form' validation. The needed registration information (as stated in the preceding paragraphs) must be entered. There are also the following details:

  • The address of the company's registered office.
  • Directors and subscribers who have been proposed.
  • The company's capital.
  • PAN and TAN numbers, among other things, are needed to apply for tax registrations.

You must upload the relevant registration documents (as mentioned in the paragraphs above). After completing Part B, you must do a 'pre-scrutiny' check. When the 'pre-scrutiny' is complete, click submit.

When the form is successfully submitted, a confirmation message appears. You should download the PDF of Part B that was submitted in order to attach the DSC and fill out any related documents that came with Part B.

AGILE-PRO, SPICe+MoA and SPICe+AoA, URC-1, and INC-9 are the forms associated with SPICe+. The SPICe+ Part B and associated paperwork can then be submitted to the MCA portal. For making a payment toward company incorporation, a Service Request Number is generated.

The forms will be handled once the payment has been made successfully. In the event that the forms must be resubmitted due to processing issues, the SPICe+ form must be resubmitted in the same way.
