One Person Company or OPC is a much more refined version of Sole Proprietorship as introduced by the Company's Act 2013. It came into existence to support entrepreneurs who on their own are capable of starting a venture and also allowing them to create a single person economic entity.
In a One Person Company, a single entity gains full authority over the company thereby restricting his/her liability towards their contributions to the enterprise. Therefore, the entity would be the only shareholder and director.
Also, under no circumstance, OPC can be contributing to employee stock options or equity funding. Likewise, if a One Person Company company has an average hattrick turnover of Rs. 2 crores and over or acquires a paid-up fund of Rs. 50 lakh and over, it has to be converted into a Private Limited Company or Public Limited Company within six months.
The director of the OPC should submit the photocopies of the following documents required mandatory for OPC registration-
Note: The first 3 documents should be self-attested by the OPC director. All the documents for a foreign national or an NRI director must be notarized.
Note: Your office space which is registered requires to be a commercial area; however, it can be your house of residence as well.
Step 1: Apply for DSC: To obtain Digital Signature Certificate following documents are required.
Step 2: Apply for DIN: After acquiring the Digital Signature Certificate (DSC), the next step is to apply for the Director Identification Number (DIN) of the proposed Director in SPICe Form along with the name and the address proof of the director.
Step 3: Name Approval Application: The next step and a very important step while incorporating an OPC is to decide on the name of the Company.
Step 4: Documents Required: MOA & AOA requires to be submitted at the ROC
Step 5: Filing Forms with MCA: All these documents will be attached with SPICe Form, SPICe-MOA and SPICe-AOA along with the DSC of the Director, and will be uploaded to the MCA site for approval.
Step 6: Issue of certificate of Incorporation: On further verification, the Registrar of Companies (ROC) will issue a Certificate of Incorporation and we can commence our business.
